Welcome to Axmed. The platform with a mission to accelerate access to quality medicines in Low- and Middle-Income Countries (LMICs) by providing a two-sided marketplace for medicines. We want to make sure that You have a positive experience on the Axmed Platform. Please read on to find out more about your rights, as well as what is expected of you, as a Supplier.

This “Supplier Policy” is a part of our Terms. When creating Your account on the Axmed Platform as a Seller, You need to agree to this Supplier Policy and our Terms of Use. If You don’t agree with this Supplier Policy or the Terms of Use, You may not create an account and thus not use our Services.

Any terms not defined here shall have the meaning assigned in the Terms of Use.

1. Understanding Axmed’s Limitations as a Marketplace

Axmed provides a marketplace for buyers to discover and purchase from sellers around the world. It is important to note that unless expressly otherwise indicated, Axmed is not part of that transaction, i.e., not a party of the purchase agreement between You and Buyers.

By purchasing on Axmed, you understand that:

You may not be selling directly to Buyers, but from one of the logistics partners offering their logistics support or an Axmed subsidiary; the final details of your purchase will be detailed in the marketplace information for the specific tender;

Unless expressly otherwise indicated in the tender information, Axmed does not pre-screen items sold on Axmed and therefore does not guarantee or endorse any items sold on Axmed or any content posted by You (such as language used in tender offers or product);

While Axmed pre-screens Buyers as part of their registration process to a certain extent, such pre-screening is limited in scope and, unless expressly otherwise indicated in the tender information, Axmed is not responsible for them and does not guarantee the proper completion of the purchase agreement by the Buyers.

Each purchase on Axmed has its own processing times, shipping methods, and purchase terms that need to be accepted from time to time;

As a member of the community, you have the opportunity to flag an item or a Supplier that violates any of Axmed’s policies, as well as to let us know of any behavior that in your view goes against our Code of Conduct and applicable laws and regulations. 2. Selling Basics

a. What can be sold on Axmed

Axmed is a unique marketplace, it is a platform with a mission to accelerate access to quality medicines and medical supplies in Low- and Middle-Income Countries (LMICs) by providing a two-sided marketplace for medicines and, when applicable, medical supplies. For the purpose of this Supplier Policy, we will refer to both as Medicine/medicines. Buyers come here to purchase medicines that they might not be able to procure anywhere else, or at reasonable prices that maximize access in the communities where they operate. As such, everything sold through the Services provided by Axmed must be made and made available in compliance with this Supplier Policy and the Terms of Use.

If you sell on Axmed, you need to provide the following information:

An identification of the coverage of your portfolio (therapeutic area, countries where you have marketing authorization)

An accurate representation of the items (formulation, dosage, etc.) and the manufacturer.

Copies of any relevant corporate documentation (e.g. certificate of incorporation, wholesale dealer’s license), regulatory approvals, quality certifications (e.g. Certificate of GMP compliance), etc.

For each quote that you make, you will have to share the details on the available units, price ranges depending on volume of demand, countries where you hold marketing authorization to sell the product, remaining shelf life and lead time to complete the tender. Buyers might require further documentation upon tender execution which will be requested as needed.

b. What Can’t be Sold on Axmed

Even if they otherwise meet our marketplace criteria, prohibited items (such us counterfeit, substandard, or falsely represented products, products that violate third-party intellectual property rights, items that do not meet regulatory or market standards in the intended countries, illegal items and items that violate our policies) are not allowed to be sold on the Axmed Platform.
Axmed reserves the right to remove any listings that violate our policies. We use a combination of automated systems, manual monitoring and flags from members and third parties to help us identify items that may violate our policies. Axmed may also suspend or terminate your account for any violations and you’ll still have to pay any outstanding fees owed to Axmed.

c. Managing your Axmed profile

Your profile represents you and your business to Axmed. It’s important that you are honest and accurately represented.

By selling on Axmed, you agree that you will:

Provide honest, accurate information in all communication with Axmed.

Ensure your Content, including product listings and documentation, complies with Axmed’s policies.

Accurately represent your products, including any details you provide about country of origin, components or materials, regulatory country approvals and availability when participating in tender offers.

Respect the intellectual property of others. If you feel someone has violated your intellectual property rights, you can report it to Axmed.

Avoid off-platform transactions or attempts to bypass Axmed’s terms, such as or creating duplicate profiles, manipulating search results, or coordinating pricing with other Suppliers, which may distort the operations of the Axmed Marketplace.

d. Use of the Axmed Platform

To order Medicines, Buyers shall submit to Axmed an order for a purchase proposal (the “Order”), through the Axmed Platform. Each Order will be aggregated by our proprietary demand engine at Axmed and consolidated tenders will be presented to Suppliers.

Axmed shall make available through the Axmed Platform a proposal for the available Orders for which You can to participate in the tender.

For any Order, you will provide for Buyers to all the relevant applicable information (e.g. medicine name, price and term during which the pricing offer is available, available supply, countries authorized for dispatch, etc.). We will incorporate the necessary information to fulfill the order (logistics procedure, etc.).

If the proposed Order response and terms are acceptable to the Buyers, we will disclose it to You through the platform. Axmed will issue through the Axmed Platform a confirmation to acknowledge that Axmed has received the Buyer’s order for a specific tender, which does not confirm acceptance of the offer to sell the goods ordered.

A tender offer is considered accepted, and Axmed moves to instruct Suppliers and Buyers to finalize the contract of sale for the goods ordered by you (either directly or through one of its logistics partners), when Axmed confirms on the Axmed Platform to the Buyers that the order can be fulfilled by You at the previously informed conditions, along with whom will be the entity in charge of fulfillment of the transaction (the “Dispatch Confirmation”).  

The Dispatch Confirmation will include the final terms of sale, payment terms and purchase model (either directly through Axmed or through one of Axmed’s logistics partners) and delivery terms.  

The information available on the Axmed Platform does not become a contractually binding with You until reception by the Buyers of the Dispatch Confirmation with the specific of the Order response and the remaining details of the purchase.

Upon delivery of the Dispatch Confirmation and its acceptance, the chosen Supplier, or Axmed either directly or through one of Axmed’s logistics partners will fulfill the sale, invoicing and delivering the goods to Buyers. Buyers will upon receipt of the Dispatch Confirmation and relevant invoices execute the payment to Axmed (or Sellers or our selected logistics partner) based on the payment terms defined for the specific Dispatch Confirmation.   

e. Supplier Standards

By listing a product for sale or participating in a tender offer on Axmed you acknowledge and agree that you are responsible for complying with all applicable laws and regulations for the products you list for sale, including any required labels and warnings. Axmed assumes no responsibility for the accuracy, labeling, or content of your listings.

As a Supplier, you are required to maintain high standards of customer service and trust, ensuring that your products meet the disclosed quality and regulatory standards, and supporting timely tender fulfillment. Specifically, on-time shipping means that orders must be shipped within the agreed lead times stated in the final purchase order. To meet the Supplier Service Level Standards, at least 80% of your orders must ship on time and meet our Supplier Code of Conduct metrics. Failure to meet these standards may result in intervention from Axmed.

By selling on Axmed, you agree to:

Honor your processing times. Suppliers are obligated to process a tender or otherwise complete a transaction with the Buyers in a prompt manner, unless there is an exceptional circumstance.

Respond to Messages in a timely manner.

Meet Axmed Supplier Code of Conduct and all the other policies identified in the Terms.

Honor the representations you make in your tender offers (quality standards, product representations, etc.).

Resolve disagreements or order issues promptly. In the unlikely event that you can’t reach a resolution, Axmed can help through our case system.

If you are unable to complete an order, you must let us know so we can find a solution. Failure to complete an order may result in disqualification and removal from the platform if it is not duly justified.

f. Selling Fees

Suppliers may be charged for using some of Axmed’s Services. There are fees associated with obtaining advanced services and digitalized orders and tenders from different buyers, and certain other Axmed products and features. You can find information on fees in the specific terms applicable to those Services or your Ancillary Services Addendum.

2. Being a Member of the Axmed marketplace

At Axmed, everyone is expected to treat fellow members of the Axmed community with respect. As a Supplier, you have additional responsibilities to safeguard any personal information you may have access to and communicate promptly with Buyers in order to provide a great customer experience.

Cancellations. If you are unable to complete a transaction, you must notify us and coordinate with Axmed to assess our options, and if possible, cancel the transaction.

Management of Your Supplier Account and Axmed’s Terms. In order to keep Axmed safe and improve our Services, we may take actions that limit your use of the marketplace. In the event a Supplier sees unusual order activity, does not meet our minimum customer service standards or we otherwise believe that your actions or shop may result in Buyer disputes, increased risk of fraud, counterfeiting, or other claims, Axmed may take actions such as limiting visibility of your account or listings, placing restrictions or reserves on your payments account, or suspending your Axmed account, in accordance with our Terms of Use, including this Policy. When appropriate and permitted by law, Axmed will communicate information to the affected Supplier about the issue.

Axmed may make changes to onboarding or authentication processes for Suppliers at our sole discretion. Completion of these processes may be required for Supplier account activation or continued access and usage.

4. Legal Boilerplate

Contracts are necessary to ensure the correct functioning of our platform, your relationship with Axmed and compliance with applicable laws. For that reason, these Terms accompany a Services Addendum with Axmed that will be signed separately between you and us, and which will include additional terms applicable to your account.

Changes to the Supplier Policy

We may update this Supplier Policy from time to time, including by adding entirely new terms and deleting existing terms. If the changes are material, we’ll let you know in advance by posting the changes through the Services and/or sending you an email or message about the changes. Your use of the Services after the effective date of the changes constitutes your acceptance of the updated Supplier Policy. If You do not agree with the changes, you may close your account.
